HomeMy WebLinkAboutSpecial Board 16 January 2018 Minutes plus AppendicesMINUTES 16 January 2018 A special meeting of the Board was held this evening in the Board Room, 133 Greenbank Road, Ottawa, Ontario, commencing at 6:48 p.m. with Trustee Lynn Scott in the chair and the following trustees also in attendance: Donna Blackburn, Christine Boothby, Erica Braunovan, Chris Ellis (electronic communication), Mark Fisher, Theresa Kavanagh, Anita Olsen Harper, Keith Penny, and Sandra Schwartz. STAFF: Director of Education, Jennifer Adams; Associate Director of Education, Brett Reynolds; Chief Financial Officer, Mike Carson; Superintendent of Human Resources, Janice McCoy; Superintendent of Curriculum, Dorothy Baker; Executive Officer, Corporate Services, Michèle Giroux; Manager of Facilities, Miro Vala; Manager of Communications & Information Services, Diane Pernari-Hergert, Manager of Board Services, Katrine Mallan; Communications Officer, Sharlene Hunter; Audio Visual Specialist, John MacKinnon; and Board/Committee Coordinator, Samantha Flynn. 27.Call to Order Vice-Chair Scott called the public meeting to order at 6:48 p.m. She acknowledged that the meeting is taking place on unceded Algonquin Territory and thanked the Algonquin Nations for hosting the meeting on their land. 28.Approval of Agenda Moved by Trustee Penny, seconded by Trustee Braunovan, THAT the agenda be approved. - Carried – 29.Report from Committee of the Whole (In Camera) Trustee Blackburn reported that the Committee of the Whole met in camera this evening, and reports and recommends as follows: a.Executive Compensation Program Moved by Trustee Kavanagh, seconded by Trustee Blackburn, THAT the Ottawa-Carleton District School Board submit to the Ministry of Education, the Executive Compensation Program that was approved by the Board on 16 November 2017 (attached as Appendix A to Report 18-010) and the public consultation feedback summary (attached as Appendix C to Report 18-010). - 21 - MINUTES 16 January 2018 Trustee Kavanagh expressed thanks to the Board and staff for their hard work in developing the Executive Compensation Program. Trustee Scott acknowledged members of the Ad Hoc Committee on Executive Compensation for their work in developing the District’s Executive Compensation Program. She noted that the Committee regularly discussed complex matters and were given helpful feedback from the Ontario Public School Boards’ Association (OPSBA) and staff. Moved by Trustee Kavanagh, seconded by Trustee Blackburn, THAT the Ottawa-Carleton District School Board submit to the Ministry of Education, the Executive Compensation Program that was approved by the Board on 16 November 2017 (attached as Appendix A) and the public consultation feedback summary (attached as Appendix B). - Carried – A recorded vote was held and the motion was carried unanimously by those present: FOR: Trustees Blackburn, Braunovan, Boothby, Ellis (electronic communication), Fisher, Kavanagh, Olsen Harper, Penny, Schwartz, and Scott. (10) AGAINST: Nil (0) ABSTENTION: Nil (0) 30. Report 18-010, Executive Compensation Public Consultation The Board received Report 18-010 Executive Compensation Public Consultation providing information on the feedback received during the 30-day public consultation period. 31. Adjournment The meeting adjourned at 6:52 p.m. Jennifer Adams Lynn Scott Director of Education and Vice-Chair of the Board Secretary of the Board - 22 - Appendix A to Special Board 16 January 2018 Appendix B to Special Board, 16 January 2018 Executive Compensation – Public Consultation Feedback Summary As required by the Province of Ontario’s Broader Public Sector Executive Compensation Act, 2014 and regulations, the OCDSB conducted a 30-day online public consultation on the Board’s proposed Executive Compensation Program. The Program was posted on the District’s website on 14 December 2017 and members of the public were invited to submit online feedback until 13 January 2017. The Board is required to consider the input received and determine whether changes to the Executive Compensation Program are required before sending its final submission to the Ministry of Education for approval. During the 30-day online public consultation period the Board received the following input from the public: Date Received Comment 19 December 2017 “Curious why consultation is occurring over the holidays, it blacks out nearly half the time for supposed consultation.” 12 January 2018 “Salary and compensation plans are complex processes. Without the relevant information, how can the public provide meaningful input??? The program feres to comparator organizations but no data is provided about those comparators and their compensation schemes, nor is a rationale provided as to why the proposed ranges are capped at 50th percentile?? if proper comparators selected, particularly among school boards, doesn’t this perpetuate inequity”
